PETER TIEMESSEN - MANAGING DIRECTOR
Peter Tiemessen, is Managing Director of the P&M Group of companies. He is a Dutch national and lives in Montfoort, a small town near Utrecht in the Netherlands. He speaks Dutch, English, and German. Peter holds a Master’s degree in Business Administration from Webster University, an American University based in St. Louis. In his spare time, he enjoys playing golf.
1990 Family office / Ernst & Young / Arthur Anderson & Co
He started his professional career at a Family Office where he became familiar with international structuring and tax optimization of investments in the Netherlands and abroad. He worked for the trust company associated with Ernst & Young as an Account Manager and later on as an Auditor for Arthur Andersen & Co.
1996 / Horwath Tax Holland / Account manager
Peter joined Horwath Tax Holland in 1996 as an Account Manager, responsible for a substantial client list providing company establishment, administration, and special project business advice to an internationally operating client base. In addition, he provided support and training to the junior staff and became involved in the marketing endeavors of the company.
1998 / Horwath Tax Holland / Manager Trust Division
In October 1998, Peter was promoted to Manager of the Trust Division, with primary responsibility for the staff, an expanded role in the company’s marketing strategy as well as servicing his existing client base.
1999 / Horwath Tax Holland / Managing director Trust Operations
In November of 1999, Peter was named Managing Director for the Trust operations in the Netherlands and became responsible for the administration, budgeting, and reporting of the Dutch Trust operations, while still maintaining his client list.
2002 / P&M
After working for other companies for many years, Peter decided that it was time to set up his own company. On 1 March 2002, Peter and Micheline (Finance Director of the P&M Group) formed P&M Financial Services B.V. (P&M) through a Management Buy-Out from Horwath Tax Holland. P&M specializes in company management, company formation and structured finance solutions for international clients. P&M also provides corporate finance and restructuring services. In January 2004 P&M bought another Trust company and renamed it P&M Trust Services B.V. Since then P&M developed into a licensed Trust company, but even more than just that. It became a trusted business advisor and sparring partner for many international clients.
The Act on the Supervision of Trust Offices (“ASTO”) entered into force on 1 March 2004. The Dutch Central Bank was charged with implementing this new legislation. It introduced direct supervision by the Dutch Central Bank on all trust offices. The ASTO focuses primarily on promoting the integrity of the Dutch financial system and with its implementation, the Dutch trust sector became a regulated industry. Trust offices that wish to provide trust and corporate services from an establishment in the Netherlands have to be licensed by the Dutch Central Bank under the ASTO. P&M was granted its license in December 2004.
THE DUTCH LIMITED LIABILITY COMPANY
A Dutch B.V. is a privately held company with limited liability.
A Dutch B.V. must be incorporated by means of a notarial deed. Sole shareholders and all directors are a matter of public record and will be listed at the Chamber of Commerce.
If a Dutch B.V. has two or more shareholders, the shareholders are not listed on the company extract at the Chamber of Commerce.
Company directors can be a private individual and/or a company and may be non-resident. For substance requirements, we recommend to have the majority of the directors be Dutch residents.
A Dutch B.V. must prepare a set of Financial Statements annually and file an abbreviated version at the Trade Registry of the Chamber of Commerce. And a corporate income tax return needs to be prepared and filed with the Dutch Tax Authorities on annual basis.
A GATEWAY INTO EUROPE
The Netherlands is situated in the Western part of Europe and with the Port of Rotterdam, it is truly a gateway into Europe. Already starting early in the 17th century the Netherlands began to develop itself into a center of world trade with the incorporation of the VOC, the first company with a capital divided into stock. The Netherlands maintained its position as a favorable jurisdiction to locate headquarters of internationally operating businesses throughout many years. It is a full member of the EU and as such has many attractive features for globally operating companies as it has concluded over 90 Double Taxation Treaties. The Treaties can significantly reduce (and sometimes eliminate) withholding taxes on dividends, interest and royalty payments.
Apart from the tax advantages the economy and political environment are stable, the financial system is of high quality and the infrastructure is excellent. The labor force is skilled, flexible and highly motivated.
The international nature of the business environment in the Netherlands allows for the filing of annual accounts in some foreign languages and both the accounts and corporate income tax returns may be filed with the Dutch Tax Authorities in currencies other than the EURO. Although Dutch is the national language, English can easily be called the second language.
